2. Services & Project Engagement

For custom engineering services (such as Web Apps, Mobile Apps, or Cloud Architecture), the exact scope, milestones, pricing, and deliverable timelines will be governed by a separate Service Level Agreement (SLA) mutually signed by both parties. These online terms serve as a baseline framework.

3. Intellectual Property

Our digital operations split intellectual property as follows:

  • Custom Code: Upon final, complete payment of a bespoke project, intellectual property rights of the custom code will transfer to the client, unless explicitly agreed otherwise in writing.
  • Proprietary Products: All rights, titles, and interests in our proprietary products displayed on this site remain the exclusive property of CUP-TECH Limited. Users are granted a limited, revocable, non-transferable license to use these products in accordance with their subscription level.

4. Limitation of Liability

In no event shall CUP-TECH Limited or its partners be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the software, server instances, or materials provided, even if we have been notified orally or in writing of the possibility of such damage.

5. Governing Law

Any claim relating to CUP-TECH Limited's platforms, services, or products shall be governed by, construed, and enforced in accordance with the laws of the **Federal Republic of Nigeria**, with local jurisdiction resting in the courts of Edo State, Nigeria.
